Terms of Service

These terms govern your use of moflowesp.com and the MoFlow producer dashboard (the “Service”), operated by MoFlow LLC (“MoFlow,” “we,” “us”). By accessing the Service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorized to do so.

These terms cover access to the website and dashboard. The DIFA witnessing and analysis work itself is governed by the separate written agreement between MoFlow and your company. Where that agreement and these terms conflict, that agreement controls.

The Service

MoFlow provides independent ESP dismantle witnessing, failure analysis, warranty claim support documentation, and a dashboard where the resulting information, documents, observations, and findings are made available to the producer they belong to.

Accounts and access

Accounts are created by MoFlow. There is no public sign-up. Access is granted after the necessary agreements are in place between MoFlow and your company.

Your information and content

Well data, documents, photographs, and other material you provide remain yours. You grant MoFlow the rights needed to store, process, and analyze that material in order to deliver the Service and produce your reports.

Reports and analysis MoFlow produces are provided for your use in operating your wells and supporting warranty claims. Our methods, templates, software, and the DIFA Pal platform remain MoFlow property.

Confidentiality

MoFlow treats producer well data, failure information, and reports as confidential and does not disclose them to other producers, to equipment vendors, or to any other third party except as needed to deliver the Service, as directed by you, or as required by law.

Fees

Fees, invoicing, and payment terms are set out in the written agreement between MoFlow and your company. Access to the dashboard is provided as part of that engagement.

Professional findings

MoFlow reports represent our independent professional assessment based on the equipment, conditions, and information available at the time of the dismantle. They are not a guarantee of any particular outcome, including the outcome of a warranty claim or dispute with an equipment vendor. Decisions you make in reliance on a report remain yours.

Availability

We aim to keep the dashboard available but do not guarantee uninterrupted access. The Service is provided “as is” and, to the extent permitted by law, without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose.

Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost production, arising from use of the Service. MoFlow’s total liability arising from the Service is limited to the amounts paid to MoFlow under the applicable engagement in the twelve months before the claim arose. Nothing here limits liability that cannot be limited by law.

Suspension and termination

We may suspend or close an account that breaches these terms, or when the underlying engagement ends. You may ask us to close your account at any time. We will make your reports and data available to you on reasonable request following closure, subject to our retention obligations.

Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. The courts located in Ector County, Texas have exclusive jurisdiction over any dispute, and both parties consent to that venue.

Changes

We may update these terms. When we do, we will change the date at the top of this page. Continued use of the Service after a change means you accept the updated terms.
